A CONSULTING AGREEMENT The
principles relating to employees and Employment Agreements are not generally applicable to
consultants. A consultant is an outside contractor who is hired for a specified time to do
a specified task. Unless there is a written agreement between your company and the
consultant, do not assume that any product developed by the consultant on your time will
automatically become your company's property.
A TERMINATION AGREEMENT
Every exit interview should include a Termination Agreement, which is essentially a
checklist of the details of departure.
If you believe that your business, whether large or small, has intellectual property
concerns, you should address them before they become actual problems. To do this, you
should consult with an attorney who practices in the area of intellectual property law.
Charles S. Sara is a registered patent attorney who
focuses his practice on biotechnology and medical patent, trademark and licensing issues.
He works with entrepreneurs and inventors, high technology companies and
universities to develop comprehensive strategies to safeguard the value of intellectual
property. Mr. Sara can be contacted via email.
